Terms of Service

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services you represent that you meet these requirements.

2. Accounts and security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

3. The Services

We provide educational courses, credentialing (ordination), and document-preparation ("formation") services. Descriptions, features, and pricing are shown at the point of sale. We may modify or discontinue any part of the Services at any time.

4. Educational purpose and no professional advice

The Services are provided for educational and informational purposes only. We are not a law firm, accounting firm, or medical provider, and we do not provide legal, tax, financial, or medical advice. Using the Services does not create an attorney-client, fiduciary, or other professional relationship.

5. Payment, pricing, and taxes

• Prices are shown in US dollars and are charged through our payment processor, Stripe. You authorize us to charge your selected payment method.
• High-value services (such as the formation service) may require an intake, consent, and electronic signature before we begin work.
• You are responsible for any applicable taxes. Where required, tax is calculated and added at checkout.
• Subscription items (such as annual renewal) automatically renew until cancelled; you may cancel before the next renewal date.

6. Refunds

Refunds are governed by our Refund Policy, which is incorporated into these Terms.

7. Electronic communications and e-signature consent

You consent to receive communications and disclosures from us electronically, and you agree that electronic signatures, acceptances, and records satisfy any legal requirement that such communications be in writing. This consent applies to the intake and consent steps of the formation service.

8. Intellectual property and license

All course content, templates, documents, and materials are owned by IOSHA or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access purchased materials for your own personal, non-commercial use. You may not copy, record, resell, redistribute, or publicly share the materials without our written permission.

Materials are marked with a per-user license notice, and we monitor for unauthorized distribution. Sharing your account or the materials, or recording or scraping the content, is a material breach that may result in immediate termination without refund and in legal action, including claims for statutory damages under U.S. copyright law.

9. Acceptable use

• Do not use the Services for any unlawful, fraudulent, or infringing purpose.
• Do not share, resell, or provide unauthorized access to paid materials or accounts.
• Do not attempt to breach security, scrape, reverse-engineer, or disrupt the Services.
• Do not misrepresent your identity or your credentials.

10. Third-party services

The Services rely on third parties (for example Stripe for payments and Amazon Web Services for hosting and storage). Your use of those services may be subject to their own terms and privacy policies.

11. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if required by law. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and dispute resolution) will survive.

12. Disclaimers of warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any particular outcome will be achieved.

13. Limitation of liability

To the fullest extent permitted by law, IOSHA and its officers, ministers, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Services. Our total liability for any claim will not exceed the amount you paid to us for the Service giving rise to the claim in the twelve months before the claim.

14. Indemnification

You agree to indemnify and hold harmless IOSHA from any claims, losses, or expenses (including reasonable legal fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of New Mexico, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Services will be resolved by binding arbitration on an individual basis, and you waive any right to participate in a class action, except that either party may bring a claim in small-claims court. Where an ecclesiastical dispute-resolution process applies to ministry participation, that process governs those matters.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date. Your continued use of the Services after changes take effect constitutes acceptance.
